TERMS OF USE AND LEGAL NOTICES

Effective January 1, 2022

These are the specific terms and conditions regarding your use of any website of ANTECH® Diagnostics (“ANTECH”) where we post these terms and conditions, including without limitation, info.antechimagingservices.com   and info.antechimagingservices.com (collectively, the “Site”) and your use of all content and collective works comprising the Site, including all data, software, photographs, videos, stories, articles, sounds, music, artwork, graphics, and other information and materials (collectively “Content”), products and services made available through the Site.  This document also provides notices of specific legal obligations in connection with your use of the Site and the Content, products and services made available through the Site.  Your use of the Site constitutes your agreement to comply with all terms, conditions and legal notices contained herein (these “Terms of Use”) in addition to any other terms, conditions and legal notices that may appear throughout the Site.

 

ACCOUNTS AND SECURITY

Non-registered members may only be able to access limited Content, products and services available on our Site.  In order to access the full Content, products and services available, you may be required to register for, or be an authorized user of, a registered user account (“Account”).  You agree to provide us with accurate, complete, and updated Account information.  Failure to do so will constitute a breach of these Terms of Use, which may result in immediate termination of your Account.

You agree to (i) keep your password confidential and use only your Account login and password when logging in, (ii) ensure that you log out from your account at the end of each session on the Site, and (iii) immediately notify us of any unauthorized use of your Account and/or password.  You are fully responsible for all activities that occur under your Account even if such activities or uses were not committed by you.  We will not be liable for any loss or damage arising from unauthorized use of your password or your failure to comply with this paragraph.

You may only use the Site and the Content, products and services available through the Site and/or register for an Account, if your applicable jurisdiction allows you to accept these Terms of Use.

 

Access Restriction/TERMINATION

ANTECH reserves the right to impose limits on certain features or restrict your access to parts of or the entire Site and the Content, products and services made available through the Site, in its sole discretion and without notice or liability.  ANTECH also reserves the right, in its sole discretion, to terminate your account, membership registration, access or use of the Site and the related services or any portion thereof at any time, without notice.  Upon termination, you will have no account or similar membership rights to the Site.  Our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any such termination.  We may provide notice of termination, if at all, by regular mail or email.

Privacy

Your privacy is important to us.  See our Privacy Statement for information on the privacy and security practices of ANTECH and the Site.

 

Intended for Users Over 13 Years of Age

The safety of children is very important to us.  Although this Site is intended for use by persons at least 13 years of age, and we have processes in place to help prevent participation in our Site communities and services by persons under 13 years of age at time of registration, we cannot prohibit minors from visiting the Site and must rely on parents and guardians (at least 18 years of age at time of use) to decide which materials are appropriate for children under 13.  We will not knowingly collect personal information from children.  Please see our Privacy Statement for more information.

 

No Unlawful or Prohibited Use

As a condition of your use of the Site, you warrant to us that you will not use the Site for any purpose that is unlawful or prohibited by these Terms of Use.  You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site.  Examples of such prohibited behavior include, but are not limited to:

  • Using the Site to promote, conduct, or contribute to fraudulent, obscene, pornographic and/or illegal activities, including deceptive impersonation or activities involving the exploitation of children.
  • Using the Site to violate anyone’s privacy rights (e.g. distributing unwanted commercial solicitations), to infringe on intellectual property rights (including copyrights and trademark rights), to harass or defame others, to promote hatred towards any group of people, or otherwise to publish or disseminate views or opinions which are, in the opinion of ANTECH, obscene, offensive, or generally inappropriate.
  • Collecting any information or communication about the users of the Site by monitoring, interdicting or intercepting any process of or communication initiated by the Site or by developing or using any software or any other process or method that engages or assists in engaging in any of the foregoing.
  • Attempting to hack the Site or any communication initiated by the Site or to defeat or overcome any encryption and/or other technical protection methods implemented by ANTECH with respect to the Site and/or data and/or content or programming transmitted, processed or stored by ANTECH or other users of the Site.
  • Uploading files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
  • Uploading files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer.
  • Disrupting, circumventing, or interfering with any part of the Site; forging or modifying any data processed or distributed by the Site; or using an automated process to cause greater demand on the Site than a single person could produce.
  • Except as expressly permitted on the Site, altering, modifying, deleting, or otherwise interfering with or in any manner compromising any content, programming, advertising, services and/or features contained on or through the Site, including, without limitation, the Site’s advertising and/or content delivery and display functionality.

 

Communication Services; Submission of Content

Use of Communication Services

The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”).  You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
  • Conduct or forward surveys, contests, pyramid schemes or chain letters.
  • Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
  • Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
  • Restrict or inhibit any other user from using and enjoying the Communication Services.
  • Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
  • Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
  • Violate any applicable laws or regulations.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service.

We have no obligation to monitor the Communication Services and we do not control or endorse the content, messages or information found in any Communication Service and, therefore, ANTECH specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service.  Managers and hosts are not authorized ANTECH spokespersons, and their views do not necessarily reflect those of ANTECH.

ANTECH reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion.  ANTECH also reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.  ANTECH reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in ANTECH’s sole discretion.

 

Materials Provided to ANTECH or Posted on the Site

By using the Site, you agree that any information (except for purchase information) or Content you send to ANTECH to contribute to this Site, or that you submit, post, upload, input or display on the Site, is not confidential (“User Material”).

By submitting any solicited or unsolicited User Material you grant ANTECH, and its successors and assigns, an irrevocable, worldwide, non-exclusive, unrestricted, sub-licensable and transferable, royalty free license to use, modify, reproduce, edit, adapt, translate, reformat, prepare derivative works of, transmit, publicly display, publicly perform and distribute the User Material in all forms and in all media and in all manners, without any restriction or notice as to changes or alterations for any advertising, promotion, publicity, or any other lawful purposes; and to publish your name in connection with your submission.  The User Material you submit may be altered for the purposes of proper publication by ANTECH.  You waive any claims you may have based on any usage of your User Material and release ANTECH from any and all liability related to the distribution, publication, and dissemination of these items, including publication on the Internet.  You waive any and all moral or integrity rights with respect to the User Materials you have submitted to ANTECH or that you submit, post, upload, input or display on the Site.  No compensation will be paid with respect to the use of any User Material, as provided herein.  ANTECH is under no obligation to post or use any User Material you may provide and may remove any User Material at any time in ANTECH’s sole discretion.

By posting, uploading, inputting, providing, or submitting any User Material you represent and warrant that you own or otherwise control all of the rights to the User Material including, without limitation, all rights necessary for you to provide, post, upload, input, submit or display the User Material, that the User Material does not infringe any intellectual property rights of any individual or entity, including the photographer who took the photos and/or videos you have submitted; and that these items do not contain any material that otherwise violates any criminal prohibition.  You acknowledge that ANTECH is relying upon and would not use the User Material you submit in the absence of these terms.

We may, at our sole discretion, remove User Material that we determine is unlawful, fraudulent, harassing, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable, or infringes or violates any party’s intellectual property or other proprietary rights or our Terms.  This includes comments concerning our competitors, vendors, business partners, service providers, associates, and affiliates.

ANTECH is not liable or responsible for any User Material provided by its users or other third parties for use on the Site. Contributions to this Site by third parties do not necessarily represent the view or opinions of ANTECH.  ANTECH may not preview user content before it appears on the Site.  Users can be held liable for any illegal or prohibited user content they provide to the Site, including among other things, infringing, defamatory or offensive materials.

 

Links to Third-Party Sites

The Site may contain links to other sites operated by Third Parties (“Third-Party Sites”).  The Third-Party Sites are not under the control of ANTECH and ANTECH is not responsible for the contents of any Third-Party Site, including, without limitation, any link contained in a Third-Party Site, or any changes or updates to a Third-Party Site.  We provide access to these links only as a convenience and are intended only to enable access to these Third-Party Sites and for no other purpose.  We do not warrant or make any representation about the substance, quality, functionality, accuracy, fitness for a particular purpose, merchantability or any other representation about any Third-Party Site or its content.  A link to a Third-Party Site from the Site does not constitute sponsorship, endorsement, approval or responsibility of any such Third-Party Site or any association with its operators.  We make no representation or warranty as to any products or services offered on any Third-Party Site.  The terms and conditions of use, legal notices and privacy policy of any Third-Party Site may differ substantially from the terms and conditions and policies that apply to your use of this Site.  Please review the terms and conditions of use for all Third-Party Sites for more information about the terms and conditions that apply to your use of Third-Party Sites.  By using this Site to search for or link to a Third-Party Site, you agree and understand that you may not make any claim against ANTECH for any damages or losses whatsoever resulting from your use of this Site to obtain search results and/or to link to a Third-Party Site.

U.S. Export Controls

Certain software and similar materials (“Software”) that you may download from this Site may be subject to United States Export Controls.  No Software downloaded from this Site may be downloaded or exported contrary to any applicable export law, including any applicable prohibitions against download or export as follows: (1) into (or to a national or resident of) Cuba, Iran, Libya, North Korea, Syria or any other country to which the United States has embargoed goods; or (2) anyone on the United States Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders.  By downloading or using Software downloaded from this Site, you agree to abide by the applicable laws, rules and regulations – including the Export Administration Act and the Arms Export Control Act – and you represent and warrant that you will not transfer, by electronic transmission or otherwise, this Software to a foreign national or a foreign destination in violation of law.

All trademarks, service marks, logos, slogans, domain names, and trade names are the property of their respective owners and are licensed to, or otherwise used with permission by, ANTECH.  All intellectual property used on the Site may not be reproduced, copied or otherwise manipulated in any manner without express, written permission of the owner.  ANTECH disclaims any proprietary interest in intellectual property other than its own.

Subject to your continued compliance with all terms and conditions, ANTECH grants you a non-exclusive, non-transferable, limited right to access, use, display and listen to this Site and the materials displayed thereon.  You agree not to dispute ANTECH’s, its affiliates, or their licensors’, claims of ownership or the validity of their rights in any materials on this Site.

You are not allowed to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any materials, or any part thereof, without the express written permission of ANTECH, provided, that you may solely for your personal, private and non-commercial use, print or down-load extracts of the materials on this Site, or copy the materials on this Site for the purpose of sending it, without any commercial objective, to individual parties for their personal information provided that you acknowledge ANTECH as the source of the materials and that you inform the third party that they must comply with these terms and conditions.

Downloads Restricted

You may only download Content displayed on the Site for non-commercial, personal use, provided you also retain all copyright, trademark and other proprietary notices contained in the Content.  Except as expressly authorized herein, or by an authorized representative of ANTECH, or by license, ANTECH strictly prohibits modifying, transmitting, distributing, reusing, reposting, “framing” or using the Content, including the text, images, audio and/or video for public or commercial purposes.  Downloading images of products for sale within the Site is strictly prohibited.  You may not copy, modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale, lease or rental of, create derivative works from, or in any way exploit the Content of Site, in whole or in part.  You may not use any data mining, robots, or similar data gathering or extractions methods with respect to the Site.  Making any resale, commercial, or derivative use of the Site or its content is strictly prohibited.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ANTECH and/or its Third Parties be liable for any direct, indirect, punitive, incidental, special, consequential damages, or any damages whatsoever including, without limitation, injury, damages for loss of use, loss of life, loss of data or loss of profits, arising out of or in any way connected with your use or inability to use of the Site, including any use of the Site, or the information, software, products, services, and related graphics provided through the Site, that results in mistakes, omissions, interruptions, deletion or corruption of files, viruses, delays in operating or transmissions or any failure of performance.  The foregoing limitation of liability shall apply in any action, whether based on contract, tort, negligence, strict liability, or otherwise, even if ANTECH or any of its Third Parties have been advised of or should have knowledge of the possibility of such damages.

By your use of the Site, you acknowledge that this paragraph shall apply to all information, software, products, and services available through the Site, except where the exclusion or limitation of incidental or consequential damages is prohibited by law.  Some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the foregoing limitations may not apply to you.  If you are dissatisfied with any portion of the Site, or with any of these terms of use, your sole and exclusive remedy is to discontinue use of the Site.

Notices and Procedure for Making Claims of Copyright Infringement

If you believe that your work has been copied, displayed, or distributed in a way that constitutes copyright infringement, please notify our Legal Department.

A notification of claimed infringement must be a written communication as set forth below, and must include substantially all of the following: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest that is allegedly infringed; (b) a description of such copyrighted work(s) and an identification of what material in such work(s) is claimed to be infringed; (c) a description of the exact name of the infringing work and the location of the infringing work on the Site; (d) information sufficient to permit ANTECH to contact you, such as your physical address, telephone number and e-mail address; (e) a statement by you that you have a good faith belief that the use of the material identified in the manner complained of is not authorized by the copyright owner, its agent, or the law; (f) a statement by you that the information in the notification is accurate and, under penalty of perjury that you are authorized to act on the copyright owner’s behalf.

Modifications to Terms of Use/site

ANTECH reserves the right to modify these Terms of Use at any time by posting revised Terms of Use on this Site.  Your continued use of this Site or the Content, products and services available through the Site shall be deemed irrevocable acceptance of those revisions when you use the Site after such revisions to the Terms of Use have been posted to the Site.  If you do not agree to (or cannot comply with) these Terms of Use, as amended, you must stop using the Site and the content, products and services made available through the Site.

ANTECH reserves the right to change, modify, suspend or discontinue all or any aspects of the Site or the Content, products, and services made available through the Site at any time without prior notice.

General

To the maximum extent permitted by law, these Terms of Use shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law rules.  Any legal proceeding arising out or relating to these Terms of Use against or relating to ANTECH will be subject to the exclusive jurisdiction of any state or federal court sitting in Los Angeles County, California and you irrevocably consent to the jurisdiction of such courts.  A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.  You agree that no joint venture, partnership, employment, or agency relationship exists between you and ANTECH as a result of these Terms of Use or use of the Site.  The failure of ANTECH at any time or times to require performance of any provision hereof shall in no manner affect its right at a later time to enforce the same unless the same is waived in writing.  The terms set forth in this Terms of Use and any agreements included or referred to in this Terms of Use constitute the final, complete and exclusive agreement with respect to this Site and may not be contradicted, explained or supplemented by evidence of any prior agreement, any contemporaneous oral agreement or any consistent additional terms.  ANTECH reserves all rights not expressly granted herein.

Reference laboratory testing, TELEMEDICINE and consultative services
terms OF SERVICE

Effective March 1, 2022

These are the specific terms and conditions that govern the provision and use of Antech Diagnostics’ veterinary reference laboratory testing, telemedicine, and consultative services unless otherwise agreed in a written agreement executed by an authorized representative of Antech Diagnostics (collectively, “Antech,” “we,” “us,” or “our”) and you (“you” or “client”).  Unless expressly stated otherwise these terms and conditions (these “Terms”) control in the event of any conflict.  Your purchase or use of our reference laboratory testing and consultative services (“Services”) constitutes your agreement to comply with all terms, conditions and legal notices contained herein, in addition to any other terms, conditions and legal notices that may be provided to you.

 

veterinary reference laboratory testing, CONSULTATive, and interpretation services

Antech provides reference laboratory testing and professional consultation and interpretation services on a peer-to-peer basis.  Our consultative specialists do not have the benefit of performing a clinical examination, nor the ability to conduct all pertinent tests on a patient.  Our specialists rely on the information communicated by the veterinarian submitting the biological specimens, diagnostic images, or seeking guidance.  By providing diagnostic results, advice, or guidance, Antech does not purport to diagnose or treat any patient.  Test protocols and interpretations provided are based on recommendations from relevant veterinary or scientific literature and are provided as general guidelines only. Diagnosis and treatment decisions are the ultimate responsibility of the attending veterinarian with the established veterinarian- client-patient relationship (VCPR).

 

turnaround times

We will use commercially reasonable efforts to meet published turnaround times. All turnaround times are based upon timely receipt of the applicable biological specimen or digital image. We will attempt to advise you if we receive either biological specimens or diagnostic images that are damaged, contaminated, improperly preserved or packed, which do not meet our specimen volume requirements, or that are of a quality that prohibits or limits our ability to perform our services to an acceptable standard or within the published turnaround times.

We assume the risk of loss or damage to a specimen at the time possession of the specimen is delivered to an authorized representative of Antech.  We reserve the right to refuse to accept or to rescind acceptance of any specimen which in our judgment is likely to pose any unreasonable risk in handling, processing, or analysis.

Unless otherwise specified or agreed in writing by an authorized Antech representative, we will retain copies of all diagnostic images submitted to Antech, all test results or analysis of biological specimens, and all consultative reports for a period of one (1) year.

After the expiration of the applicable retention period we may retain or destroy any biological specimens, images, results, analyses, and reports in accordance with our internal retention policies, and we may use them for scientific research, or our own commercial purposes, on an anonymized basis.  All biological specimens become the property of Antech upon delivery to Antech or authorized Antech representative. Please see Use of Specimens and Data section below for more information on how we may use specimens, images, and data submitted to Antech.

Quality Assurance

We will perform all Services in accordance with our standard operating procedures and protocols which are subject to regular quality assurance reviews.

Antech GLP offers laboratory services that are compliant with Good Laboratory Practice Regulations as provided for in 21 CFR Part 58. For more information about Antech GLP and its services please visit its website at antechglp.com.

Hazardous Materials and Human Specimens

When submitting any specimen containing any hazardous substance you represent and warrant that such specimen will be packaged, labeled, transported, and delivered, in accordance with all applicable laws, rules and regulations.  We may return to you unused portions of specimens found or suspected to be hazardous, or to contain hazardous materials according to state or federal guidelines upon completion of Services.  We will not accept or analyze human specimens and we reserve the right to reject any specimen containing any substance we consider hazardous or which we have a reasonable suspicion to believe to be hazardous. We may invoice you for the reasonable cost of returning any specimens.

courier SERVICE

Subject to availability we will pick-up specimens directly from your place of business either once or twice daily in most metropolitan areas through our network of couriers.  To find out if you are in an area eligible for courier service or to schedule regular pick-up service, please contact Customer Service at 1-800-872-1001.

Text Express™

In areas in which courier service is not available you can submit specimens, free of charge, through our Test Express™ service which utilizes FedEx® to provide Priority Overnight shipping Monday through Friday enabling us to provide next day results to most parts of the United States and Canada.

By utilizing our Test Express Service, you can provide your patients with the highest quality laboratory services available, regardless of your clinic’s location.

Call FedEx directly at 800.GO.FEDEX (800.463.3339) to schedule your pickup.  Let FedEx know you have a package to be picked up for “Express Return Pickup,” and give them your FedEx account number and street address. If you speak to an agent, inform them that you are using a billable stamp. Pick-ups are available Monday through Friday at no charge. Saturday pick-ups are available subject to a FedEx Saturday service surcharge. Please contact FedEx for information on “cut off” times for pick-up requests and for the nearest drop box locations in the event you need to ship a late specimen.

FedEx Billable Stamps

The FedEx Priority Overnight Billable Stamp provided to you by Antech is the easiest and most reliable way to ensure prompt delivery of your specimens. The stamp contains all of the necessary billing information to invoice Antech for your shipment. Simply fill in your clinic’s name, the person responsible for shipping inquiries, your Antech account number, your phone number, and the date of shipment on the stamp; peel off the right side of the stamp and affix it to the outside of the clinical pack bag. Retain the tracking number for your records, in the event your shipment requires tracking.

The following are important points to note about the Billable Stamp:

  • The “ship to” address on the billable stamps is not Antech’s physical address. The address listed facilitates FedEx’s ability to deliver our packages earlier than normal Priority Overnight packages. U.S. Mail and other carriers will not deliver to the address on the stamps.  Do not use this address for anything other than specimens submission through FedEx. All other correspondence or submissions should be directed to Antech, 2433 Glove Cove, Southaven, MS 38671.
  • Please call your Test Express Account Manager or Test Express Customer Service at 1-888-397-8378 to order more stamps and for specific instructions on how to correctly fill out a FedEx® Airbill. Incorrectly completed Airbills may cause FedEx to invoice you for the shipment, and subject you to a FedEx® Billing Correction surcharge.

Packaging Instructions

It is important that specimens are shipped in accordance with FedEx diagnostic specimen shipping guidelines in order to ensure prompt deliver.  Antech is not liable for submissions that do not adhere to the following packaging instructions.

  • Place your specimen tubes and Antech requisition form into a zip-lock bag. Please separate patient specimens into individual bags.
  • Position the bag along with an absorbent material, such as a paper towel, inside your Test Express shipping box. You may include multiple specimens in the same box.
  • Close the box and seal the lid with tape.
  • Fill in your clinic information and the date on the FedEx Billable Stamp.
  • Remove the top copy of the Billable Stamp and fix the label to your package.  Retain the tracking number for your records.
  • Call 1-800-GO-FEDEX or 1-800-463-3339 to schedule a pickup. If you have any questions regarding submitting specimens to Antech, please call your Test Express Account Manager or Test Express Customer Service us at 1-888-397-8378.

supplies

Antech is pleased to provide, at no charge, routine supplies necessary for collection and submission of specimens. Provided collection supplies may include culture swabs, blood tubes, urine tubes, formalin jars, etc.  We also provide shipping supplies including, for example, specimen boxes, billable stamps, and zip-lock bags.

Supplies can be ordered through Antech Online or by calling Customer Service at 1-800-872-1001.

Please allow approximately 3 to 5 business days for delivery of supplies.  At your request, supplies may be shipped overnight for an additional charge.

TEST CANCELLLATION POLICY

All tests may be cancelled prior to receipt at our facilities.

ADD-ON TESTING

All add-On tests must be ordered together with a profile to receive discounted pricing. After the original testing is submitted additional tests will be charged the regular individual test fee.

Biohazard Charges

Antech charges a biohazardous processing fee per shipment (rates may vary by location). It is important to note that the biohazardous processing fee is charged per shipment, not per patient. If there are several patients in any given shipment, only one biohazardous processing fee will be applied.

Use of Specimens and Data

You authorize us to use any specimens, images, and any data or information relating to such specimens and images, including any clinical information, diagnostic results, and any data and information included in any analyses or reports provided as part of the Services, provided that such information has been de-identified and/or anonymized, for scientific research, or our own business purposes, including without limitation internal research and development, and disclosure in public studies.

Payment Terms

All fees are charged or billed directly to you. Unless expressly provided otherwise our prices do not include any applicable taxes. You agree to pay any federal, state or local, sales, use, personal property, excise, or other taxes arising out of the Services, except for taxes based on Antech’s net income. Payment in advance may be required for clients who have not established credit with us or who have a poor credit or payment history.

For clients with approved credit payment of all fees is due by the 25th day of the month following the date of invoice. All payments shall be in U.S. Dollars. Any amount owed beyond the date such amount became due and payable shall accrue a late charge at a rate of 1.5% per month (18% per year), or the maximum rate provided by law, whichever is less. We may change payment terms at any time or revoke any credit previously extended. If at any time you have not paid all amounts due or are otherwise in default, then in addition to any other rights and remedies available to us under applicable law, we may suspend or discontinue provision of any and all Services without notice. You will be responsible to reimburse us for any and all costs incurred in connection with collecting any amounts owed by you, including, but not limited to, collection agency fees, reasonable attorneys’ fees and court costs.

CONFIDENTIALITY

By using our Services, you agree that without the prior written consent of a duly authorized representative of Antech, except as required by law or judicial process, you shall not, and you shall cause your representatives not to disclose to any third party any pricing information related to the Services or any other information provided to you on a confidential basis. You agree that any breach of this commitment will result in irreparable and continuing damage to Antech for which there may be no adequate remedy at law, and Antech shall be entitled to seek injunctive relief and/or a decree for specific performance in addition to any other remedy to which it may be entitled.

limited warranty; Disclaimer of Warranties

we warrant that we shall perform the services in a professional manner using qualified personnel.  except as expressly provided in this limited warranty we make no other warranty, representation, or condition, express or implied. we do not warrant the accuracy, integrity or completeness of the results or advice provided or the services offered.  TO THE FULLEST EXTENT OF APPLICABLE LAW, ANTECH specifically disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. No oral or written information or advice given by ANTECH or its representatives shall create a warranty, except where the exclusion or limitation of certain warranties is prohibited by law.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ANTECH be liable for any indirect, punitive, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, damages for loss of profits, loss of goodwill, or loss of business arising out of or in any way connected with the sale or provision of our services, or any failure or delay in delivery OF such services.  our entire liability to you in connection with the provision of services, shall not exceed the amount you paid for the service giving rise to the claim.

The foregoing limitation of liability shall apply in any action, whether based on warranty, contract, tort, negligence, strict liability, or otherwise, even if ANTECH have been advised of or should have knowledge of the possibility of such damages.  we accept no liability for the purposes for which you use our services or any results, report or advice we may provide.

Some states/jurisdictions do not allow the exclusion or limitation of liability for indirect, punitive, incidental, special, consequential, exemplary, or punitive damages, so the foregoing limitations may not apply to you.

Force Majeure

Antech shall not be liable for any failure to perform caused by or in any manner arising from fires, floods, accidents, riots, acts of God, war, governmental interference or embargoes, strikes, labor difficulties, any shortage of labor, fuel, power, materials or supplies, disease outbreak or epidemic, transportation delays, delays in deliveries by our vendors or any other cause or causes (whether or not similar in nature to any of these hereinbefore specified) beyond our reasonable control.

Governing law; jurisdiction

To the maximum extent permitted by law, these Terms and the Services shall be governed by and construed, without reference to any conflict of law principles, in accordance with:

  • the laws of the State of California if you are located in the United States, or
  • the laws of the Province of Alberta if you are located in Canada.

Any legal proceeding arising out or relating to these Terms and/or the Services, and all related disputes between us and you will be subject to the exclusive jurisdiction, and you irrevocably consent to the jurisdiction of the courts, of:

  • any state or federal court located in Los Angeles County, California if you are located in the United States, or
  • any provincial court located in Calgary, Alberta if you are located in Canada.

The prevailing party in any legal action or other proceeding shall be entitled to recover from the other party all costs of the proceedings, including reasonable costs, attorney fees, professional fees and other expenses incurred by such prevailing party in such proceeding.  A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms and/or the Services to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The terms set forth in these Terms and any agreements that reference these Terms constitute the final, complete and exclusive agreement with respect to our Services and may not be contradicted, explained or supplemented by evidence of any prior agreement, any contemporaneous oral agreement or any consistent additional terms.  Any purchase order, order for work, acceptance, or other writing submitted by you that includes any conditions that vary from these Terms are hereby rejected.

MODIFICATIONS TO these TERMS

Antech reserves the right to modify these Terms at any time by posting revised Terms on this website, or by sending notice using the contact information you have provided.  It is your responsibility to check the Terms periodically for changes.  Your continued use of our Services shall be deemed irrevocable acceptance of those revisions when you use our Services after such revisions to the Terms have been posted. If you do not agree to (or cannot comply with) these Terms as amended, you must immediately stop using our Services.  Antech reserves the right to change, modify, suspend or discontinue all or any aspects of its Services at any time without prior notice.

For residents of the Province of Quebec, Canada:

If any amendment entails an increase in your obligations or a reduction in Antech’s obligations, you may refuse the amendment, and terminate your use of the Services, without cost, penalty or cancellation indemnity within 30 days after the amendment comes into force. If you do not exercise the right to terminate your use of the Services within 30 days after the amendment comes into force, you will be deemed to have consented to be bound by the amendment.

This is the entire agreement between the parties relating to the subject matter in these Terms and shall not be modified except in writing signed by both parties or by a new posting by Antech, as described above. If any part of these Terms is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions. The failure of Antech at any time or times to require performance of any provision hereof shall in no manner affect its right at a later time to enforce the same unless the same is waived in writing.  Antech reserves all rights not expressly granted herein.
